Description:
GlobalLogic is looking for an experienced Senior Commercial Counsel to join its growing legal department in Bucharest or Cluj-Napoca. The successful candidate will be responsible for maintaining strong internal and external customer relationships. A minimum of 10 years of legal experience in either global technology product or technology services companies where a wide variety of contract terms can be at issue is essential.

Requirements:
- Law degree with strong academic credentials.
- 10 – 15 years experience with a professional license to practice law in Romania.
- UK or Ireland qualification (license to practice law in UK/IE) is a must have
- Drafting, reviewing and negotiating commercial agreements for technology companies in an in-house legal department.
- Business fluent in English, including the ability to draft and negotiate contracts in English. Additionally, German language skills preferred.
- Experience with privacy and data protection/security issues and provisions.
- Clear and concise verbal and written communication skills.
- Strong computer skills (e.g., Google Workspace, Microsoft Word, etc.).
- Detail oriented with strong organizational skills.
- Ability to identify revenue recognition issues.
- Ability to handle multiple tasks simultaneously.
- Ability to prioritize; must be responsible and conscientious.
- Ability to work under pressure to meet specific deadlines.
- Ability to work independently and in a team environment.
- Flexibility to work global hours when necessary.
- Dedication to quality and reliability in all work tasks.
- Team player with a sense of humor.
Preferences:
- LLM UK or Ireland and knowledge of the German legal system.
Job Responsibilities:
- Draft, review and negotiate many types of commercial technology contracts, which will include master services agreement, licensing agreements, alliance agreements, reseller agreements, statements of work, binding offers, confidentiality agreements, and data processing agreements.
- Guide the contract drafting and negotiation process with a diverse set of customers ranging from start-ups to Fortune 500 companies.
- Be the frontline interface for both the company’s customers and internal stakeholders.
- Define risks arising from customer contract demands and advise on recommended courses of action and legal risks to appropriate internal decision-makers (including delivery, finance, tax, legal, business, privacy, IT, etc.) for discussion and resolution.
- Partner with business teams to provide advice and creative solutions to complex and/or novel problems.
- Examine current contract review processes and implement improvements within existing procedure.
- Carry out such other tasks to support colleagues within the global legal team, as required.
